Contract Validity, Formation & Quantity Tolerance
- Contract Validity Window: All official sales contracts, proforma invoices, and commodity price quotations issued by Nafra Overseas remain legally valid for 8 days following issuance/signature unless explicitly specified otherwise in writing.
- Contract Execution & Electronic Transmission: Contracts and proforma agreements become binding upon mutual digital signature or exchange via formal corporate email / electronic document execution. The contract is executed in one English original.
- Quantity Tolerance (+- 5% Acceptable): In accordance with standard international maritime agro-commodity trade practices, a commercial weight variance of (+- 5% Acceptable) is recognized on full container load (FCL) consignments due to natural bulk packing and draft surveys. Final invoice value adjusts strictly pro-rata to the net weight certified on the official Bill of Lading and Certificate of Weight.
- Strict Written Amendments: Any modification, volume revision, or amendment to an existing sales agreement must be made in writing and confirmed by authorized signatories of both Seller and Buyer.
Incoterms® 2020 Rules & Port Operations
All containerized ocean shipments and deliveries are governed strictly by the International Chamber of Commerce (ICC) Incoterms® 2020 guidelines:
Seller delivers goods aboard Buyer's nominated ocean vessel at Mundra Port (INMUN1), Gujarat, and clears Indian export customs. Ocean freight, transit insurance, and destination clearing are Buyer's obligation.
Seller pays ocean carriage to designated overseas discharge port, clears Indian customs, and procures Marine Cargo Insurance (Institute Cargo Clauses A, 110% CIF invoice value).
Seller covers export haulage, customs clearance, and ocean freight to the destination port. Buyer arranges marine insurance from the time containers are loaded aboard the vessel.
• Port of Loading: Mundra Port, Gujarat, India (Primary) / Nhava Sheva (Alternative).
• Trans-Shipment: Allowed (to accommodate global hub connections via Jebel Ali, Colombo, or Singapore).
• Partial Shipment: Not allowed unless explicitly agreed in writing by both parties.
Payment Terms & Official International Banking
To comply strictly with Reserve Bank of India (RBI) foreign exchange export mandates and international anti-money laundering regulations, international remittances must be wired directly to the Seller's authorized corporate accounts:
100% Irrevocable Letter of Credit payable at sight against standard compliant ocean shipping documents, issued by a prime international first-class bank and confirmed if required by Seller.
Contract structure: 30% advance deposit upon signing to commence sortex processing and packaging, with the 70% balance payable against scanned Clean On Board Bill of Lading (B/L) copy.
To prevent cyber fraud, safeguard commercial transactions, and adhere to international AML standards, official beneficiary account coordinates, SWIFT codes, and USD/EUR intermediary banking instructions are issued strictly on official company letterhead within the verified Proforma Invoice (PI) upon contract confirmation. All foreign bank advising and intermediary charges outside India remain for the Buyer’s account.
Packaging Standards, Shipping Marks & Label Integrity
- Standard Commercial Packaging: Commodities are packed in virgin 25 kg / 50 kg net weight Polypropylene (PP) woven bags, multi-wall paper bags, jute bags, or bulk tote big bags as contracted.
-
Standard Shipping Marks: Each export bag is clearly marked with:
Product Name | Net Weight: 50 KGS (or 25 KGS) | Packing Date: As per lot | Expiry Date: As per lot | Country of Origin: India | Shipping Marks: Provided by Buyer
- Strict Label & Document Conformity: All information on the bag labels must suit with the information on the shipping documents. No changes on the labels are permitted after printing; if adjustments are required, bags must be reprinted and corrected prior to container stuffing.
- Container Moisture Desiccant & Kraft Lining: All ocean containers (20ft GP / 40ft HC) are lined with heavy food-grade kraft paper and equipped with high-absorption calcium chloride container desiccants to prevent sweat and moisture damage during tropical ocean transit.
Mandatory Export Documentation Suite
For every export consignment, Nafra Overseas tenders the complete 7-tier statutory export documentation package to guarantee smooth import customs clearance:
Force Majeure & Contract Termination
If either party is prevented from, or delayed in, performing any duty under this contract by an event beyond reasonable control, then this event shall be deemed Force Majeure. - Qualifying Events: Force Majeure events include, but are not limited to, war (declared or undeclared), riots, insurrections, acts of sabotage, strikes, lockouts, labor unrest, newly introduced sovereign laws, export quotas or embargoes, delayed government clearances, maritime blockades, pandemics, or abnormal catastrophic natural events (cyclones, tsunamis, earthquakes).
- Notice & Official Certification: The affected party must immediately notify the other party of the event, the obligations affected, and the estimated duration. An official certificate confirming the force majeure event issued by the Chamber of Commerce where the event occurred must be presented.
- 30-Day Mutual Termination Right: If any force majeure event prevents or delays the performance of contractual duties for more than 30 consecutive days, then either party may terminate the contract without any default claim, liquidated damages, or penalty.
Governing Law & Legal Jurisdiction

In the event that an amicable settlement cannot be achieved, all legal proceedings, contractual interpretations, and judicial determinations shall be governed strictly by the Substantive Laws of the Republic of India, and subject to the exclusive jurisdiction of the competent Courts having territorial jurisdiction at Mehsana / Unjha, District Mehsana, Gujarat, India.
